Any actual purchase of Xynatech products is governed by the separate written purchase agreement, quotation, or order acknowledgment between you and Xynatech — not by these Terms or by the content of this Site. In the event of any conflict between this Site and a separate written agreement, the separate agreement controls.

Submitting an inquiry through our forms does not create a binding contract. We are not obligated to accept any inquiry or proceed with any project.

User Submissions

When you submit information, materials, drawings, files, or feedback through our forms or other channels (collectively, "Submissions"), you confirm that:

• You have the right to submit the materials and to grant us the rights described below
• Your Submissions do not infringe the intellectual property, privacy, or other rights of any third party

Product warranties (if any) for purchased Xynatech products are governed exclusively by the applicable purchase agreement — not by these Terms or by the content of this Site.

Limitation of Liability

To the fullest extent permitted by law, in no event will Xynatech, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to the Site, regardless of the form of action, will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow the limitation or exclusion of certain damages, so portions of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Xynatech, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your Submissions, or your violation of these Terms.
